1. Scope of Services
Anna Li Design & Consulting LTD, based in Vancouver, British Columbia, offers professional services including consulting, leadership mentorship, design team alignment, and UI/UX career guidance, as outlined in individual agreements with clients.
Services are delivered remotely unless otherwise agreed and are tailored to the specific needs of founders, product leaders, and designers seeking strategic and human-aligned growth.
2. Client Responsibilities
Clients agree to provide accurate and timely information, context, and communication necessary to initiate and maintain the success of the engagement.
Clients are responsible for ensuring that any content, documents, or materials they provide do not infringe on third-party rights or intellectual property.
3. Payment Terms
Payment terms, including session fees, package rates, invoicing cycles, and due dates, will be communicated directly and agreed upon prior to the engagement.
Anna Li Design & Consulting LTD reserves the right to suspend or terminate services in the event of late or non-payment.
4. Intellectual Property
Unless otherwise agreed upon in writing, Anna Li Design & Consulting LTD retains ownership of any original frameworks, tools, processes, or materials created during the engagement.
Upon full payment, clients may use any final deliverables or documents for their intended personal or internal business purposes, but may not reproduce, distribute, or sell them without written permission.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, personal, or sensitive information shared during the engagement, including business documents, personal insights, or strategic goals.
Confidentiality extends beyond the duration of the engagement unless otherwise agreed.
6. Scheduling and Cancellation
Bookings are scheduled through a third-party platform (e.g., cal.com). Clients are encouraged to reschedule or cancel sessions with at least 24 hours’ notice.
Missed or late-cancelled appointments may be subject to fees or forfeiture of that session, depending on the terms communicated during booking.
7. Project Timeline and Communication
Anna Li Design & Consulting LTD will make reasonable efforts to adhere to agreed-upon timelines and respond promptly to client communications. However, delays caused by client inaction, force majeure, or third-party interruptions are not the responsibility of the consultant.
8. Revisions and Scope Changes
If the service includes documents or deliverables, a limited number of revisions may be included, as defined in the original service agreement.
Additional revisions, scope expansions, or follow-up work may be subject to additional fees, agreed upon in writing.
9. Termination
Either party may terminate the engagement with written notice if the other party materially breaches the terms of the agreement.
Upon termination, the client remains responsible for payment for any work completed up to the date of termination, as well as applicable cancellation or closing fees.
10. Limitation of Liability
Anna Li Design & Consulting LTD shall not be liable for any indirect, incidental, or consequential damages resulting from the use of its services, including but not limited to lost profits, business interruptions, or unmet outcomes.
All services are provided based on collaborative intent, and while professional guidance is offered, individual or organizational results cannot be guaranteed.
11. Disclaimers and Professional Boundaries
No Guarantees Clause
While we aim to provide guidance, insight, and support, outcomes depend on each client’s unique circumstances, decisions, and implementation efforts. Therefore, we do not guarantee any specific results, business growth, or personal outcomes from participating in our consulting or mentorship services.
Professional Advice Disclaimer
Our consulting and mentorship services are intended for educational and developmental purposes only. Nothing provided during the course of our engagement should be construed as legal, financial, medical, or psychological advice. Clients are encouraged to consult appropriate licensed professionals for such matters.
Client Responsibility for Implementation
The client acknowledges that they are solely responsible for implementing any strategies, insights, or decisions that arise from the consulting or mentorship relationship. Anna Li Design & Consulting LTD shall not be held liable for decisions made or actions taken by the client based on our discussions or materials.
Non-Coaching/Non-Therapeutic Disclaimer
Although our work may involve introspection or personal development themes, our services are not a substitute for psychotherapy, psychological counseling, or licensed coaching. We do not diagnose, treat, or provide medical or psychological services.
Ethical Conduct and Boundaries
We are committed to maintaining a professional and respectful relationship with each client. We reserve the right to decline or terminate services if behavior is abusive, harassing, or inappropriate in any form.
12. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Province of British Columbia, Canada.
